1. General

1. These Terms & Conditions apply to all services provided by Asyla Projects (“we”, “us”, “our”), including training programs, workshops, consulting, and online resources.
2. By using this website or registering for a service, you accept these Terms & Conditions in full. If you do not agree, please refrain from using our website or services.
3. We may update these Terms & Conditions at any time. Changes take effect upon publication on this page.

2. Pricing, Currency & VAT

1. All prices are displayed in multiple currencies for your convenience. Our base currency is EUR (Euro).
2. Displayed conversions are automatically calculated using internal exchange rates, which are updated periodically and may differ from live market rates.
3. All costs shown on the website are exclusive of VAT unless explicitly stated otherwise.
4. Applicable VAT is added at checkout or invoicing in accordance with Dutch tax regulations.
5. Prices are subject to change at any time. Confirmed bookings are not affected by later price adjustments.

3. Registration & Payment

1. Registration becomes binding when completed via our website or confirmed in writing by Asyla Projects.
2. By registering, you acknowledge and accept that all course fees are non-refundable except in cases expressly permitted under Section 4.
3. Online courses: payment is due immediately upon registration via our secure payment processor (Stripe).
4. Classroom courses:
   • Once the minimum number of attendees is reached, we send a secure payment link by email.
   • You must pay within the stated deadline to confirm your seat.
   • Failure to pay on time may result in automatic cancellation.

4. Refunds, Transfers & Cancellations (by participants)

1. All payments are final and non-refundable.
2. If you cannot attend, you may request a substitution or deferral to a later session, subject to availability and Asyla Projects’ written approval. Requests must be submitted at least 10 working days before the course start date. Administrative fees may apply.

5. Changes to Courses & Services

1. We strive to deliver all courses as described but may adapt content, delivery mode, or instructors to maintain quality and relevance.
2. We reserve the right to update course materials, schedules, or instructors without prior notice.
3. Substantial changes will be communicated promptly to affected participants.

6. Cancellations by Asyla Projects

1. We may cancel a course due to insufficient enrollment, unforeseen circumstances, or other factors beyond our control. In such cases, you may:
   • Transfer to another session; or
   • Receive a full refund of the course fee paid to Asyla Projects.
2. We are not responsible for indirect costs you incur (such as travel or accommodation).

7. Cookies, Tracking & Geolocation

1. This website uses cookies and local storage to remember preferences such as your selected currency, country, and session details.
2. Geolocation data is used solely to display localized pricing, announcements, and offers (e.g., regional promotions like “The Netherlands Comes to Kenya”).
3. Cookies are refreshed each visit and do not contain personally identifiable information.
4. By continuing to browse this site, you consent to the use of these cookies and localized features.

8. Intellectual Property

1. All course materials, web content, and branding are the property of Asyla Projects or its licensors.
2. Materials are for personal educational use only and may not be reproduced, redistributed, or modified without written permission.

9. Participant Responsibilities

1. Provide accurate registration information.
2. Ensure punctual attendance and professional conduct during all sessions.
3. Arrange your own travel, accommodation, and connectivity for classroom or online courses.

10. Liability

1. We make every effort to ensure the accuracy and quality of our courses, content, and exchange-rate calculations but do not guarantee uninterrupted or error-free operation.
2. We are not liable for indirect, incidental, or consequential damages, including pricing discrepancies caused by exchange rate variations or system delays.
3. Our maximum liability is limited to the total amount paid for the service concerned.
4. Nothing in these terms limits liability where limitation is unlawful under Dutch law (including for death, injury, or fraud).

11. Privacy

We process personal data in accordance with our Privacy Statement and the EU General Data Protection Regulation (GDPR). Payment data is processed securely via Stripe, and no credit card details are stored on our servers.

12. Force Majeure

We are not liable for delays or failures caused by events outside our reasonable control (e.g., natural disasters, pandemics, strikes, or IT outages). We will attempt to reschedule or deliver services through alternative means whenever feasible.

13. Referral Program

Asyla Projects occasionally offers a referral program allowing participants to refer others for rewards. Participation implies acceptance of the following conditions:

13.1 Eligibility

1. Only registered, fully paid participants in good standing are eligible to refer others.
2. Self-referrals, duplicate registrations, or referrals within the same organization are ineligible.

13.2 Qualifying Referrals

• The referrer and referee must both be fully registered and paid for the same training.
• The referred registration must remain active and not be refunded, cancelled, or charged back.
• Asyla Projects reserves the right to verify and validate all referrals.

13.3 Rewards

1. Rewards (e.g., credit, discount, or voucher) are issued after verification and may take up to 60 days.
2. Rewards are personal, non-transferable, and subject to applicable taxes.
3. We may limit the number of rewards per participant or year.

13.4 Prohibited Conduct

• Spamming or unauthorized promotion.
• Misrepresentation of Asyla Projects or false claims about discounts.
• Any conduct that violates applicable law or harms our reputation.

13.5 Program Changes

We may modify, suspend, or discontinue the referral program at any time without notice. Unverified or pending rewards may be forfeited.

13.6 Liability

To the fullest extent permitted by law, Asyla Projects is not liable for any loss, damage, or dispute arising from participation in the referral program. Maximum aggregate liability is €100.

14. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of the Netherlands. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Rotterdam, the Netherlands.
